Buyer Terms
Version 4.0 (draft) · Effective date: [to be set on approval]
In short
- For business buyers only. Free for buyers; projects generally from USD 250,000.
- A sourcing specialist reviews your request before any supplier is approached; no outcome is guaranteed.
- You define your requirements, check suppliers and documents, handle permits and import clearance where you are the importer, and inspect and accept goods.
- Your supply contract is with the supplier and forms only when you both sign or accept it.
1. Scope
These Buyer Terms apply when you, as a buyer, submit a request for quotation ("RFQ"), project brief, transaction request or marketplace request, or otherwise use SeedMatchGroup's sourcing service. They form part of the Terms of Service; terms defined there have the same meaning here. If they conflict with the Terms of Service on a buyer matter, these Buyer Terms apply.
2. Business buyers only
The service is for professional buyers acting for a business or public body — commercial growers, agribusinesses, investors, project owners, government bodies and their authorised representatives. It is not for personal or household use.
The service is designed for commercial projects generally from USD 250,000. Requests below that level, or without enough information for responsible review, may be declined or kept on file without outreach. By submitting a request you confirm that you are authorised to act for the organisation named, that the request is genuine, and that you intend to use the goods or services for business purposes.
Mandatory consumer-protection rights, where they apply to you despite these controls, are not affected.
3. The service is free for buyers
SeedMatchGroup does not charge buyers for the sourcing service. Where a project proceeds, SeedMatchGroup may receive a commercial fee from the selected supplier, manufacturer or partner under a separate agreement. This does not change supplier selection, which stays buyer-led and supplier-neutral.
4. How the process works
- A sourcing specialist reviews your request and may ask questions to clarify the scope.
- We may prepare a brief and approach suitable independent suppliers, sharing project information only as reasonably necessary.
- We organise and present the responses received.
- After project review, we may make a staff-reviewed introduction to one or more suppliers.
- You and the supplier decide whether to contract. Any contract forms only when you both sign or accept your own written contract, purchase order or order confirmation.
5. Your responsibilities as buyer
To the extent they apply to you under applicable law and your role, you are responsible for:
- Requirements: defining your requirements, specifications, quantities, timelines and site conditions accurately.
- Evaluation: evaluating samples, specifications, quotations, test reports and other documents, and deciding which supplier to engage.
- Verification: verifying that the supplier and the product are suitable for your purpose and that certificates and documents are genuine and current.
- Permits and import: obtaining permits, import authorisations, phytosanitary import conditions and customs clearance where you are the importer of record or otherwise responsible.
- Registration: local product registration, seed registration or variety listing where you are the responsible party in the country of use.
- Lawful use: using products only as permitted in the country of use — including using crop-protection products only where they are explicitly authorised there.
- Inspection and acceptance: inspecting and testing goods on delivery and accepting or rejecting them under your supply contract.
- Payment: paying the supplier as agreed in your supply contract.
These responsibilities do not transfer to you any duty that applies to the supplier or to SeedMatchGroup by law.
6. Your contract with the supplier
The supply contract is between you and the supplier. Quotations, estimates, listings, introductions and messages passed through SeedMatchGroup are not binding offers or acceptances unless you and the supplier expressly agree in writing that they are. Your rights and remedies for the goods or services — such as warranty, delivery, quality and conformity claims — are against the supplier under that contract and applicable law. SeedMatchGroup is not a party to it unless it expressly agrees in writing to be.
7. Your confirmations
- The information you give is accurate and complete to the best of your knowledge, and you will correct it if it changes.
- You have authority to act for the organisation named and, where stated, the funding, land rights or permits you describe.
- You are not acting for a sanctioned person or for a prohibited end use.
- You will not use confidential supplier information received through the process for any purpose other than the project concerned, and will not use an introduction to circumvent the process.
8. Recalls, safety and regulatory matters
If you learn of a recall, safety incident, plant-health or quarantine finding, suspected fraud or a regulatory inquiry connected with goods or services sourced through the platform, tell the supplier and SeedMatchGroup promptly, cooperate reasonably, and keep the relevant records and documents for at least the period required by law or [RETENTION PERIOD — counsel to confirm], whichever is longer.
9. Liability and indemnities
The "Limitation of liability" and "Indemnities" sections of the Terms of Service apply to buyers, including the matters that are never excluded or limited. Your indemnity is limited to losses caused by your own breach, fraud, wilful misconduct or breach of law, in proportion to your contribution.
