Supplier Terms
Version 4.0 (draft) · Effective date: [to be set on approval]
In short
- For business suppliers only. Buyers see anonymised profiles and listings only after staff review or listing.
- You are responsible for what you supply — authenticity, specifications, quality, safety, labelling, certificates, origin, traceability and your own compliance — with specific duties for seeds, inputs, produce and equipment.
- Crop-protection products are offered only where explicitly authorised in the destination.
- Any supply contract is between you and the buyer and forms only when you both sign or accept it.
1. Scope
These Supplier Terms apply to any supplier, manufacturer, distributor, seed producer, nursery, produce seller, exporter, contractor or other provider ("supplier") that registers, applies, is reviewed for the directory, opts in to a marketplace listing, responds to an RFQ or is introduced through SeedMatchGroup. They form part of the Terms of Service; terms defined there have the same meaning here. If they conflict with the Terms of Service on a supplier matter, these Supplier Terms apply.
2. Business suppliers only
Suppliers take part only as businesses. You confirm that you are lawfully established, in good standing, authorised to supply what you offer, and that the person acting for you has authority to do so.
3. How participation works
- Directory: companies are shown to buyers only after staff review, and only as anonymised profiles (code, country, categories, confirmed certifications and export markets).
- Marketplace: a record is listed only if you opt in and a staff member decides to list it, anonymously. You can ask us to remove it at any time.
- RFQs: we may share project information with you as reasonably necessary to request a response. You may decline any RFQ.
- Compliance review: a listing, request or match may be held or blocked where a compliance review is required or a restriction applies.
- A review, listing, allocation or introduction is not an endorsement, certification or guarantee of business.
4. Your general responsibilities
To the extent applicable under the law and your role (for example as manufacturer, seller, exporter or registrant), you are responsible for the goods and services you offer or supply, including their:
- authenticity and your title to the goods (or right to sell them);
- conformity with the agreed specifications, quality, and safety;
- packaging and labelling;
- certificates and test reports, which must be genuine and current;
- origin, production and handling, and traceability;
- any warranties you give; and
- your own compliance with the laws that apply to you, including export, sanctions, labour, environmental and data-protection law.
5. Seeds and plant material
Where you supply seed or plant material, and to the extent applicable to your role, you are also responsible for:
- species and variety identity and trueness to type;
- varietal purity;
- germination and vigour claims, stating the test basis and date (for example ISTA or AOSA rules, where you claim them);
- disclosure of any seed treatment applied;
- GMO or biotechnology status;
- plant variety rights and any licences needed to produce or sell the variety;
- seed registration or variety listing where you are the responsible party; and
- phytosanitary certificates and compliance with plant-health and quarantine requirements of the exporting country and, as agreed, the destination.
6. Fertilizers and crop-protection inputs
Where you supply fertilizers, biostimulants, crop-protection products or other inputs, and to the extent applicable to your role, you are also responsible for:
- composition, guaranteed analysis and labelling, and product registration where you are the registrant;
- offering crop-protection products only where they are explicitly authorised in the destination country for the intended use — SeedMatchGroup will not present any use as permitted without explicit official approval there;
- information relevant to residues and maximum residue limits;
- storage and handling instructions; and
- safety data sheets (SDS) and hazard classification.
7. Harvested produce
Where you offer harvested produce (fruit, vegetables, grains or other crops), and to the extent applicable to your role, you are responsible for the accuracy of the details you declare — origin, grade and size, harvest dates and availability windows, quantities and packaging — and for:
- food safety and compliance with maximum residue limits in the destination market;
- traceability records;
- the licences, food-safety certifications and phytosanitary or export documents required in the countries of production, transit and destination, where they fall to you; and
- the cold chain while the produce is under your control.
SeedMatchGroup facilitates sourcing and staff-reviewed introductions. Unless expressly agreed in writing, it does not grow, store, pack, inspect, test or certify food, and it does not guarantee any sale, buyer, price or offtake. Declared details remain your statement unless SeedMatchGroup expressly states that it has confirmed a specific fact.
8. Greenhouses, irrigation and equipment
Where you supply greenhouses, irrigation, fertigation, climate-control or other equipment, and to the extent applicable to your role, you are also responsible for:
- conformity marks and certifications required in the destination;
- engineering and structural suitability for the conditions and loads specified in your contract; and
- installation and commissioning where they are within your scope.
9. Information you provide
- Company, product, certificate, price and lead-time information must be accurate, not misleading, and your own or properly licensed.
- Clearly distinguish your own claims (such as performance, yield or savings) from independently verified certifications and test results, and state the basis and date of any test.
- Prices and lead times are indicative until confirmed in your own written quotation or contract.
- Tell us promptly if information you provided changes or becomes inaccurate.
10. Your confirmations
- You hold the licences, registrations, rights and permits needed for what you offer.
- You will screen counterparties as the law requires and comply with sanctions, export-control, anti-money-laundering and anti-bribery law.
- You will not supply counterfeit goods, multiply or sell protected varieties without authority, or infringe third-party rights.
- You will use buyer information received through the process only for the project concerned and will not use an RFQ or introduction to circumvent the process.
11. Fees
Where a project proceeds, SeedMatchGroup may receive a commercial fee from the selected supplier under a separate written agreement. No fee is payable under these Supplier Terms alone.
12. Recalls, incidents and records
Tell the buyer concerned and SeedMatchGroup promptly — and in any case within any period that applicable law requires — about any recall, safety incident, plant-health or quarantine finding, suspected fraud or regulatory inquiry affecting goods offered or supplied through the platform, and cooperate reasonably. Keep origin, traceability, test and compliance records for at least the period required by law or [RETENTION PERIOD — counsel to confirm], whichever is longer, and provide relevant copies on reasonable request where needed to deal with such a matter. This does not replace any duty to notify an authority directly.
13. Suspension and removal
Acting reasonably, we may hold, remove or decline a listing, profile, response or introduction, or end participation, where information is inaccurate, a compliance review requires it, or there is a reasonable suspicion of a breach of these Supplier Terms or applicable law.
14. Liability and indemnities
The "Limitation of liability" and "Indemnities" sections of the Terms of Service apply to suppliers, including the matters that are never excluded or limited (such as mandatory product-safety and food-safety duties). Your indemnity is limited to losses caused by your own breach, fraud, wilful misconduct or breach of law, in proportion to your contribution, and does not limit any right a buyer or other third party has against you under applicable law.
