1. The service
SeedMatchGroup ("SeedMatchGroup", "we", "us", "our") provides an online B2B marketplace and sourcing service that allows professional buyers to submit Requests for Quotation ("RFQs"), receive non-binding quotations from independent Third Parties, compare offers, and be introduced to independent financing partners. SeedMatchGroup does not manufacture, breed, stock, distribute, install, commission, service, warrant, certify, finance, underwrite, insure, transport, store, apply or handle any seed, plant material, greenhouse, irrigation system, agricultural technology, equipment, chemical input or agricultural project.
1A. What SeedMatchGroup is not
SeedMatchGroup is expressly not, and shall not be construed as, any of the following: (i) a seed producer or breeder; (ii) a greenhouse operator or grower; (iii) an irrigation contractor or installer; (iv) an agronomist, horticulturist or crop consultant; (v) an agricultural, engineering, MEP, civil, structural, environmental, water, energy, phytosanitary or biosecurity consultant; (vi) an engineering, EPC, EPCM or turnkey contractor; (vii) an equipment manufacturer, distributor or reseller; (viii) a fertilizer, pesticide, herbicide, fungicide, biological or chemical input supplier; (ix) a logistics, freight, customs, warehousing or last-mile provider; (x) an insurance carrier, broker or agent; (xi) a bank, lender, credit institution, payment institution, investment firm, investment advisor, fund, credit intermediary or regulated financial services provider; (xii) a party to any contract concluded between users, Suppliers or financing partners.
2. Role of SeedMatchGroup — intermediary only
SeedMatchGroup acts solely as a neutral marketplace and business-introduction intermediary. Any seed, plant material, equipment, greenhouse, irrigation system, technology, installation, civil works, commissioning, training, spare parts, agronomic service, logistics, storage, insurance, financing or related service is provided exclusively by the Supplier or other Third Party you choose. The legal contract is concluded directly between you and the Supplier. SeedMatchGroup is not a party to that contract, does not act as agent, broker of record, principal, escrow, guarantor or fiduciary, and assumes no obligation arising under it.
3. Supplier responsibility
Each Supplier is solely and exclusively responsible for: seed genetics, varietal purity, germination rate, phytosanitary status and treatment; product quality, conformity and certification; valid manufacturing, phytosanitary, biosecurity, export, import, customs and regulatory approvals; installation, commissioning, agronomic advice and after-sales service; warranty and spare-parts obligations; scheduling, delays, cancellations and refunds; logistics, shipping, incoterms and insurance; crop performance and yield; and compliance with all applicable agricultural, biosecurity, environmental, phytosanitary, trade, sanctions, export-control, tax, labour, consumer, data-protection and anti-corruption laws in every relevant jurisdiction.
4. Buyer obligations & RFQ Terms
By submitting an RFQ or using the marketplace as a buyer you represent and warrant that: (a) you are a professional business, agricultural project owner, investor or duly authorised representative; (b) all information you provide (company, project, financial, agronomic, permit and identity information) is accurate, complete and lawful; (c) you have all necessary authority, licences, land rights, permits, import authorisations, phytosanitary clearances and funding to receive the goods or services requested; (d) you will conduct your own independent legal, financial, agronomic, technical, environmental, phytosanitary and commercial due diligence on any Supplier, offer or financing partner before entering into any contract; (e) you will independently verify all product specifications, certifications, prices, warranties, delivery schedules and regulatory representations, which may change without notice; (f) you are not acting on behalf of a sanctioned person, sanctioned jurisdiction or restricted end-use, and the goods or services will not be re-exported in breach of applicable export controls; and (g) you accept full responsibility for the commercial decision to engage any Supplier or financing partner introduced through the platform.
5. Supplier obligations & Marketplace Rules
Suppliers listed on, verified for or transacting through the platform additionally warrant that: (a) they are duly incorporated, in good standing and lawfully authorised to manufacture, breed, distribute, export, install, service or finance the offered goods and services; (b) they hold and maintain all required licences, certifications, ISF/UPOV/PVP rights, ISTA/ISO certifications, seed lot traceability, phytosanitary approvals, CE/UL/other conformity marks, insurance and permits; (c) all listings, technical specifications, images, certifications, prices, warranties and lead times are accurate, non-misleading and their own or duly licensed; (d) they will screen counterparties, honour applicable sanctions, export-control, AML, CTF, anti-bribery and consumer laws; (e) they will not engage in fake listings, price manipulation, review manipulation, disintermediation, off-platform circumvention, counterfeit products, unauthorised seed multiplication or PVP infringement; (f) they will respond to RFQs professionally and in a timely manner; and (g) they will defend, indemnify and hold SeedMatchGroup harmless against any breach of these warranties. SeedMatchGroup may review, may request supporting documentation and reserves the right, where appropriate and to the maximum extent permitted by applicable law, to reject, delist, suspend or permanently terminate any Supplier, listing, RFQ or account.
6. No guarantees
Quotes, prices, lead times, product and equipment specifications, photos, ratings, certifications, warranty terms, agronomic recommendations, calculators, project templates, financing indications and any other Third-Party-supplied information are provided by Suppliers or third-party sources and are indicative only until confirmed in writing by the chosen Third Party. SeedMatchGroup does not verify, endorse, guarantee or warrant any such information and makes no representation as to availability, price, fitness, safety, lead time, agronomic outcome, yield, ROI or quality. Nothing on the platform constitutes a binding offer, advice or recommendation by SeedMatchGroup.
7. Disclaimer of Warranties
The platform, all content and all Third-Party information are provided "as is" and "as available". To the maximum extent permitted by applicable law, SeedMatchGroup expressly disclaims all warranties and conditions of any kind, whether express, implied, statutory or otherwise, including without limitation warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, completeness, non-infringement, uninterrupted or error-free operation, security, or that any defect will be corrected. SeedMatchGroup makes no representation or warranty in respect of: crop performance; seed germination rates; varietal purity; greenhouse productivity; irrigation performance; harvest quality; plant diseases; pest control; weather conditions or climate resilience; yield expectations; ROI, IRR, NPV or payback estimates; supplier warranties; installation quality; financing approval, terms or availability; or the outcome of any project.
8. Limitation of Liability
To the maximum extent permitted by applicable law, SeedMatchGroup, its affiliates, directors, officers, employees, agents and contractors shall have no liability whatsoever, whether in contract, tort (including negligence), statute, equity, restitution or otherwise, for any loss, damage, injury, death, delay, cancellation, crop failure, seed rejection, phytosanitary incident, biosecurity event, water or energy loss, property damage, environmental damage, business interruption, regulatory fine, financial loss, lost profit, lost revenue, lost opportunity, loss of goodwill, loss of data, cost of substitute goods, or any direct, indirect, incidental, special, consequential, exemplary or punitive damages arising out of or in connection with: (a) any goods, services, installation, agronomic advice, financing or insurance provided by any Third Party; (b) any act, omission, default, insolvency, fraud, misrepresentation or breach by any Supplier, payment provider, financing partner, carrier, insurer, laboratory, certifier, customs authority or other third party; (c) any Third-Party information appearing on the platform; (d) any decision made based on indicative pricing, matching results, calculators, project templates or content; (e) any unavailability, error, interruption, security incident, hack or content of the platform; (f) any Force Majeure event as defined below.
Without limiting the above, and to the maximum extent permitted by law, the total aggregate liability of SeedMatchGroup arising out of or related to the platform, regardless of the cause of action, shall not exceed one hundred euros (€100). Where applicable law does not permit the exclusion or limitation of certain liabilities, liability is excluded or limited only to the extent permitted by that law; mandatory consumer-protection rights of your country of residence are not affected.
9. Force Majeure
SeedMatchGroup shall not be liable for any failure, delay or interruption in the platform or the performance of any obligation arising from causes beyond its reasonable control, including without limitation: acts of God; natural disasters; drought, flood, fire, frost, hail or extreme weather; pest, disease or phytosanitary outbreak; war, armed conflict, terrorism, civil unrest, sabotage; embargoes, sanctions, export controls, government action or change of law; strikes, labour disputes; pandemic, epidemic or public-health measures; telecommunications, hosting, cloud, power, satellite or internet failures; cyber attacks, denial-of-service events or malware; supply-chain, energy, fertilizer or logistics disruption; or the acts or omissions of any Third Party.
10. Indemnification
You agree to defend, indemnify and hold harmless SeedMatchGroup, its affiliates, directors, officers, employees, agents and contractors from and against any claim, demand, investigation, loss, liability, damage, fine, penalty, sanction, cost or expense (including reasonable legal fees and enforcement costs) arising out of or related to: (a) your use of the platform; (b) any goods, services, financing or insurance supplied to or by you; (c) your breach of these Terms, the Acceptable Use Policy, the Compliance Policy or any applicable law; (d) any dispute between you and any Supplier, financing partner, carrier, insurer or other user; (e) your infringement of any third-party intellectual property or privacy right; (f) any false, misleading or fraudulent information you submit.
11. Reservation of Rights; Account Suspension & Termination
SeedMatchGroup reserves the right, at its sole discretion and without notice, and to the maximum extent permitted by applicable law, to: refuse service; remove, edit, delist or reject any listing, RFQ, content or account; suspend, restrict or permanently terminate access; freeze introductions or communications; and share information with law-enforcement or regulatory authorities, where appropriate. Without limitation, we may exercise these rights in respect of any actual or suspected: fraud; fake companies or synthetic identities; false agricultural, technical, financial or identity information; counterfeit products; illegal seed trade; illegal pesticide or agrochemical trade; biosecurity or phytosanitary violation; export-control violation; sanctions violation; money laundering; terrorist financing; corruption or bribery; intellectual property infringement; disintermediation, circumvention or marketplace abuse; abusive scraping, bots, credential stuffing, security probing; harassment, discrimination or hate speech; or any other breach of these Terms or of the Acceptable Use, Compliance or IP policies. Termination does not relieve either party of accrued obligations, and sections relating to disclaimers, liability, indemnity, IP, compliance, governing law and jurisdiction survive termination.
12. Fraud, AML, CTF, Anti-Bribery, Sanctions & Export Controls
Users must comply with our Compliance Policy, including anti-fraud, Anti-Money-Laundering (AML), Counter-Terrorist-Financing (CTF), anti-bribery and anti-corruption, international sanctions (including EU, UN, UK OFSI and US OFAC regimes) and export-control obligations. Users shall not, directly or indirectly, use the platform to facilitate any transaction with sanctioned persons or jurisdictions, corrupt payments, laundering, terrorist financing, or dual-use / restricted-end-use exports without required licences. We may perform KYC, KYB, sanctions and adverse-media screening, may request supporting documentation, and reserve the right, where appropriate, to decline, suspend or terminate any interaction on these grounds.
13. Intellectual Property
The platform, its software, content, structure, design, look and feel, trademarks, service marks, logos, images, calculators, project templates, guides, methodologies and databases are owned by SeedMatchGroup, Global B2B Group or their licensors and protected by copyright, trademark, database, trade-secret and other laws. You receive only a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the platform for your own legitimate B2B sourcing, procurement or supplier participation. 14. Acceptable Use
Use of the platform is subject to our Acceptable Use Policy, which is incorporated by reference. Prohibited activities include (without limitation) unlawful, deceptive or abusive use, scraping, reverse engineering, security probing, resale of listings, and any activity listed in Section 11 above.
15. Third-Party Services
The platform may integrate or link to third-party services (hosting, mapping, authentication, analytics, communications, calculators, market data). Such services are provided by their respective providers under their own terms; SeedMatchGroup makes no warranty regarding them and disclaims liability for their acts, omissions or content.
16. AI-generated content
Portions of the platform (matching suggestions, summaries, translations, agronomic write-ups, calculators and drafting aids) may be produced or assisted by artificial intelligence. AI output may contain errors, omissions or outdated information, is provided for general informational purposes only, and must be independently verified. AI output does not constitute legal, financial, tax, engineering, agronomic or professional advice. See the Disclaimer.
17. Cyber Security & Responsible Disclosure
We maintain administrative, technical and organisational safeguards proportionate to platform risk. Users must not attempt to compromise the platform, other users or Third Parties. Suspected vulnerabilities must be reported under our Responsible Disclosure Policy.
18. Environmental & Regulatory Compliance
Buyers and Suppliers are solely responsible for environmental, water, energy, biosecurity, phytosanitary, land-use, permitting, chemical-input, worker-safety and waste obligations in the project jurisdiction. SeedMatchGroup makes no environmental representation and disclaims all liability for environmental, biosecurity or regulatory outcomes.
19. Governing law & exclusive jurisdiction
These Terms and any non-contractual obligation arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. The competent courts of the Republic of Cyprus shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, the platform or the relationship between you and SeedMatchGroup. Mandatory consumer-protection rights of your country of residence are not affected. Any dispute against SeedMatchGroup must be brought individually; class or representative actions are waived to the maximum extent permitted by law. Disputes regarding any goods, services or financing must be brought against the Third Party that performed or was contracted to perform them.
20. Changes
We may update these Terms at any time. The version number and "Last updated" date will reflect any change. Continued use after changes constitutes acceptance. If you do not agree, stop using the platform.
21. Severability & entire agreement
If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving intent. These Terms, together with the policies referenced above, constitute the entire agreement between you and SeedMatchGroup regarding the platform.

Without limiting Section 5, and to the maximum extent permitted by law, the aggregate liability of SeedMatchGroup arising out of or related to the platform, regardless of the cause of action, shall not exceed one hundred euros (€100). Where applicable law does not permit the exclusion or limitation of certain liabilities, liability is excluded or limited only to the extent permitted by that law; mandatory consumer-protection rights of your country of residence are not affected.
SeedMatchGroup operates solely as a technology, sourcing and business-introduction platform. SeedMatchGroup is not a lender, bank, financial institution, credit provider, investment advisor or regulated financial services provider in any jurisdiction.
- The platform does not provide loans, credit, financial advice, investment advice, tax advice, legal advice or any regulated financial services.
- The platform does not negotiate, underwrite, approve or guarantee financing of any kind.
- Financing requests submitted through the platform may, subject to the user's explicit consent, be shared with independent third-party financing providers for evaluation purposes only.
- Any financing approval, terms, pricing, underwriting, due diligence and contractual arrangements are determined solely by the relevant financing provider. Financing is not guaranteed and remains subject to eligibility, compliance and lender approval.
- Any financing agreement that may result exists exclusively between the user and the independent third-party financing provider. SeedMatchGroup is not a party to that agreement.
- Users are solely responsible for conducting their own legal, tax, financial and commercial due diligence before entering into any financing or commercial arrangement.
- SeedMatchGroup assumes no liability for financing decisions, lender actions, defaults, project failures, disputes or any losses arising from financing arrangements introduced through the platform.
