1. RFQ validation and organization — no direct buyer-to-supplier contact

SeedMatchGroup's role is limited to validating and organizing requests for proposals (RFQs) and managing supplier outreach on the buyer's behalf:

• What we do: we review each qualified project brief, validate and structure the requirement, clarify technical scope with the buyer, then contact relevant independent suppliers and manufacturers ourselves and present the organized responses to the buyer through SeedMatchGroup.
• No direct buyer-to-supplier contact: buyers do not contact suppliers, manufacturers or vendors directly through the Platform. We do not provide direct messaging between buyers and suppliers through the Platform and do not disclose supplier names, contact details or quotations to other parties except through a staff-reviewed introduction after project review.
• No public supplier directory as a sales channel: any supplier or equipment information published on the Platform is informational and for research only; it is not an offer to connect, and supplier introductions are handled manually by our team after project review.
• No obligation: using the Platform and submitting an RFQ is free for buyers and creates no obligation to work with SeedMatchGroup or with any supplier, contractor or financing provider.
• Contracts are direct: any resulting supply, construction or service agreement is concluded solely between the buyer and the supplier or contractor concerned. SeedMatchGroup is not a party to that agreement, unless it expressly agrees in writing to be, and assumes no supplier obligations under it. See when a supply contract forms.

2. Independent agricultural procurement disclaimer

• SeedMatchGroup does not manufacture agricultural equipment, greenhouses, irrigation systems, seed or related infrastructure.
• SeedMatchGroup does not certify suppliers. Capability descriptions are provided by suppliers or compiled from public information. Staff carry out limited reviews (for example before a directory company is shown to buyers); a review is not a certification, audit or guarantee — see Terms of Service.
• SeedMatchGroup does not guarantee crop performance, yield, irrigation efficiency, greenhouse productivity, equipment suitability, delivery timelines or commercial outcomes.
• All information published on the Platform is intended solely to support procurement planning and informed decision-making.
• Customers remain solely responsible for agronomic evaluation, engineering validation, environmental compliance and commercial due diligence before entering into any agreement with a supplier, contractor or financing partner.

3. Technical and agricultural information disclaimer

Articles, guides, calculators, planning tools, project templates, comparisons and other technical resources published on the Platform are provided for general informational purposes only. They do not replace:

• Professional agronomic or horticultural advice;
• Engineering design, structural or MEP review;
• Environmental, water, soil, phytosanitary or biosecurity assessments;
• Irrigation, drainage, energy or climate-system design by qualified specialists;
• Compliance with local agricultural, land-use, permitting, import and export regulations.

Users must consult qualified professionals before relying on any technical output produced by the Platform.

4. Financing disclaimer

Financing information, pre-qualification indications, calculators and educational content are provided for informational purposes only.

• SeedMatchGroup is not a lender, bank, credit provider, investment advisor or regulated financial services provider.
• SeedMatchGroup does not guarantee financing approval, funding availability, interest rates or commercial terms.
• Financing opportunities depend on project characteristics and independent approval by participating financial institutions or financing partners.
• Any financing agreement exists exclusively between the user and the independent financing provider. SeedMatchGroup is not a party to that agreement.

5. External links

The Platform may link to third-party websites for reference purposes. SeedMatchGroup does not endorse or accept responsibility for the content, accuracy or availability of external sites.

6. No warranty

The Platform and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law.

8. Technology-assisted content disclaimer

Portions of the Platform (matching, summaries, translations, agronomic descriptions, calculators and draft documents) may be produced or assisted by automated tools and proprietary technology. Such output may contain errors, omissions or outdated information, is provided for general informational purposes only, and must be independently verified. It does not constitute legal, financial, tax, engineering, agronomic or professional advice.

9. Yield, ROI and crop performance disclaimer

Any figures, ranges, benchmarks or projections regarding yield, harvest quality, germination, ROI, IRR, NPV, payback, energy consumption, water usage, capex or opex are illustrative estimates only. Actual results depend on climate, soil, water quality, agronomic practice, genetics, market conditions, execution quality and many other factors outside SeedMatchGroup's control. SeedMatchGroup does not guarantee any outcome.

10. Environmental, biosecurity & phytosanitary disclaimer

Buyers and suppliers are responsible, each according to their legal role, for compliance with applicable environmental, phytosanitary, biosecurity, water, energy, land-use, permitting, chemical-input, worker-safety and waste regulations. Regulatory information on the Platform is not a representation that any seed, plant material, input or system is permitted or importable; verify with the competent authority. SeedMatchGroup's own liability is governed by the Terms of Service.

11. Third-party content disclaimer

Product listings, images, technical specifications, prices, warranties, agronomic write-ups, certifications, financing indications, and market data displayed on the Platform originate from Suppliers, financing partners or public/third-party sources and remain their statements unless SeedMatchGroup expressly states that it has confirmed a specific fact. Any review we carry out is limited and is not an endorsement or warranty; confirm details with the supplier in writing before relying on them. SeedMatchGroup's own liability is governed by the Terms of Service.

12. Fertilizers, crop-protection products and other agricultural inputs

SeedMatchGroup does not manufacture, formulate, blend, register, certify, store, transport, import, export, apply or sell any fertilizer, crop-protection product, biological, biostimulant, seed treatment, adjuvant or other agricultural input. Any supply of such products is contracted and performed directly between the manufacturer or supplier and the buyer. Unless expressly agreed in writing, SeedMatchGroup is not a party to that contract, does not hold title to the goods, and takes on no product, regulatory or performance obligation under it.

• Manufacturer / supplier responsibility: product composition, guaranteed analysis, purity, contaminant levels, efficacy, shelf life, certificate of analysis, product and establishment registration, hazard classification, safety data sheets, label content and conformity with the law of the country in which the product is placed on the market.
• Buyer responsibility: lawful importation, import permits and customs clearance, verification that the product is registered and permitted in the country of destination and use, storage, handling, application rate and timing, operator and worker safety, residue and maximum-residue-limit compliance in the destination market, environmental and waste obligations, and all agronomic decisions.
• SeedMatchGroup: structures the requirement, runs a confidential supplier-neutral process and facilitates communication. It gives no warranty, express or implied, and makes no representation that any product is registered, importable, compliant, safe, effective or fit for any particular purpose.

Regulatory information published on the Platform — including any regional overview of fertilizer or crop-protection rules — is general orientation only, may become outdated, and is not legal or regulatory advice. Buyers must verify current requirements with the competent authority in each relevant jurisdiction and with their own advisors. Claims about product defects, non-conforming consignments, rejected or detained imports, registration, residues, crop damage, delays or supplier insolvency are to be pursued against the contracting manufacturer or supplier under the supply contract.
